The University has developed numerous standard Agreements to facilitate contract negotiation and execution.

Standard Agreement Templates

Using a standard Agreement template makes the process of establishing a contract more streamlined. As a public educational institution, the university is governed by the laws of the State of Wisconsin as well as UW Board of Regents policies. The Agreement templates below all include legal terms that most collaborators or sponsors are willing to accept when working with a public research institution such as UW-Madison.

Reminder: All Agreements must be processed via a RAMP record SoHE review. Only an authorized university official may sign an Agreement.

Confidential Disclosure Agreement (CDA) or
Non-Disclosure Agreement (NDA)

Sharing of confidential information, including parties interested in discussing potential future research collaborations.
This Agreement type does not involve performing research or service activities. If work will be performed, a Research or Service Agreement must be established.
Non-Disclosure Agreement (NDA)
Data Use Agreement (DUA) or
Data Transfer and Use Agreement (DTUA)
Sending out (UW to outside entity) or bringing in (outside entity to UW) data. The Agreement will outline data security and storage requirements, the Recipient's rights to publish results, data destruction steps, etc.

Collaborative Research Agreement Collaboration with an outside partner when both the University and the outside partner contribute contribute data, materials, or resources to a joint research project, but the project is not funded (sponsored) by the collaborator.
